Wesfed Terms of Service
The use of services from Wesfed.com ("Wesfed Multimedia", "Wesfed", "We", "Our", "Us", "Company") constitutes agreement to these terms. Please also read our Web Hosting Terms
1) Free Bug Fix Guarantee
Free bug ("error","glitches") fixes will be granted in situations that your project(s) meet the following criteria:
- The website must have been originally created by Wesfed
- The part of the script that has the bug(s) was a quoted task and not an hourly modification.
- The bug(s) must be caused by Wesfed or the Wesfed Server.
- The files in which the bug(s) are associated with must not be modified or tampered with by anyone other that Wesfed.
If the website(s)/file(s) do not meet all of the above specifications, then the Free Bug Fix Guarantee is void.
2) Payments
For any service rendered by Wesfed other than hosting and/or hosting addons (including but not limited to: domain purchases, ssl purchases, and dedicated IP purchases), you will be required to pay half (50%) of the total price up front before any work is done. Once the quoted invoice is complete (the invoice is fulfilled), the remaining 50% of the payment will be required before we transfer or give you access to the project files. For hourly base jobs (including but not limited to: modifications, updates, maintenance), you will be billed weekly until the task(s) is/are complete. Failure to pay any invoice within 10 days of it's due date will result in a 5% fee compounded daily until the full amount (including fees) are paid. All sales/payments are final.
3a) Indemnification
Customer agrees that it shall defend, indemnify, save and hold Wesfed harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Wesfed, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Wesfed against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with Wesfed; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from Wesfed's server.
3b.) Arbitration
By using any Wesfed services, you agree to submit to binding arbitration. If any disputes or claims arise against Wesfed or its subsidiaries, such disputes will be handled by an arbitrator of Wesfed's choice. An arbitrator from the American Arbitration Association or the National Arbitration Forum will be selected in the state of Montana. Arbitrators shall be attorneys or retired judges and shall be selected pursuant to the applicable rules. All decisions rendered by the arbitrator will be binding and final. The arbitrator's award is final and binding on all parties. The Federal Arbitration Act, and not any state arbitration law, governs all arbitration under this Arbitration Clause. You are also responsible for any and all costs related to such arbitration.
4.) Disclaimer
Wesfed shall not be responsible for any damages your business may suffer. Wesfed makes no warranties of any kind, expressed or implied for services we provide. Wesfed disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by Wesfed and its employees.
5.) Disclosure to law enforcement
Wesfed may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies. We will cooperate fully with law enforcement agencies.
6.) Changes to the TOS
Wesfed reserves the right to revise its policies at any time without notice. However, we will try to contact any existing client with any changes that may occur. It is your responsibility to check our Terms on a monthly basis to stay up to date.
